Terms of Use

1. Introduction and Acceptance

Referee Studio ("Service," "we," "us," "our") is provided by Tommaso Tani. These Terms of Use ("Terms") govern your use of our website, mobile applications, and related services (collectively, the "Platform").

By accessing or using Referee Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

We reserve the right to update these Terms at any time. Changes become effective immediately upon posting. Your continued use of the Platform constitutes acceptance of amended Terms.

2. Eligibility and Account Responsibility

2.1 Age Requirements

You must be at least 16 years of age to use this Platform. If you are between 16 and 18, you warrant that you have permission from a parent or legal guardian.

2.2 Authority

If you are registering on behalf of a sports federation, organization, or legal entity, you represent and warrant that you have the authority to bind that organization to these Terms.

2.3 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. You assume all liability for actions taken through your account.

3. Use of the Platform

3.1 Permitted Use

Referee Studio is provided exclusively for the purpose of studying basketball rules, analyzing game situations, and preparing for officiating duties. You may only use the Platform for lawful purposes and in accordance with these Terms.

Permitted use includes:

  • Reviewing and studying rules content provided by Referee Studio
  • Analyzing game footage and plays for officiating education
  • Preparing for certification exams and officiating assignments
  • Accessing resources for sports federation training programs

3.2 Prohibited Use

You strictly agree not to:

  • Redistribute, republish, or resell access to the Platform or any content therein to third parties
  • Scrape, crawl, or automatically access the Platform or extract data using bots, scripts, or similar tools
  • Download, reverse-engineer, or decompile the Platform or any of its components
  • Circumvent, disable, or interfere with any security features, access controls, or technical measures
  • Upload, submit, or link to content that is defamatory, obscene, hateful, discriminatory, or violates the rights of others
  • Claim authorship or ownership of content provided by Referee Studio
  • Use the Platform for commercial purposes without explicit written permission from Referee Studio
  • Interfere with the operation or security of the Platform through any means
  • Attempt to gain unauthorized access to accounts, servers, or systems
  • Use the Platform in violation of any applicable law or regulation
  • Impersonate any person or entity or misrepresent your affiliation

3.3 Monitoring

We reserve the right to monitor your use of the Platform. We may investigate any suspected violations and may, at our sole discretion, terminate your access without notice if we believe you have violated these Terms.

4. Video Content and Third-Party Dependencies

4.1 No Storage by Referee Studio

Referee Studio does not store, host, or retain any video content. All game footage, plays, and video materials linked through Referee Studio are hosted and managed by third parties (primarily YouTube and the original content owners).

4.2 Availability and Responsibility

Your ability to access video content is entirely dependent on:

  • The continued availability of the third-party hosting platform
  • The original content owner's decision to keep the content published
  • Your compliance with the terms of service of the hosting platform

Referee Studio assumes no responsibility if:

  • Videos are removed, deleted, or made private by the original owner
  • The third-party hosting platform becomes unavailable or changes its policies
  • You lose access to content due to geographic restrictions or platform changes
  • Video quality, formatting, or metadata changes

4.3 Copyright and Content Ownership

All video content remains the property of the original copyright holder. Your access to videos through Referee Studio does not grant you any ownership rights. You agree to respect the intellectual property rights of all content creators.

4.4 User-Provided Links

If you submit links to video content, you represent and warrant that:

  • You have the right to submit the link
  • The content does not infringe on any third-party rights
  • The content complies with these Terms
  • You understand that Referee Studio is not responsible for the availability or accuracy of linked content

We reserve the right to remove any links that we believe violate these Terms or applicable law.

5. Intellectual Property

5.1 Referee Studio Content

All content, materials, design, functionality, and code on the Platform (excluding third-party video content and user-provided materials) are the exclusive property of Referee Studio or our licensors. This includes, but is not limited to:

  • Text, graphics, logos, and imagery
  • Database compilations
  • Software code and algorithms
  • Layout and structure

5.2 Your License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose only. This license does not permit you to:

  • Modify or create derivative works
  • Remove or obscure any proprietary notices
  • Use any content for commercial purposes without permission

5.3 User Content

You retain ownership of any content you submit to Referee Studio. By submitting content, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute that content for the operation and improvement of the Platform.

6. Fees and Payment

6.1 Current Terms

Referee Studio is currently provided free of charge. You understand that this may change at any time.

6.2 Future Fees (Conditional)

If we introduce fees or a subscription model in the future, we will:

  • Provide at least 30 days' written notice
  • Offer an opportunity to terminate your account without penalty before charges begin
  • Clearly communicate the terms and conditions of any paid service

6.3 Payment Processing

If payment is required, you agree to:

  • Provide accurate billing information
  • Pay all charges incurred through your account
  • Comply with the terms of any payment processor we use

7. Limitation of Liability

7.1 Service Provided "As Is"

The Platform is provided on an "as is" and "as available" basis. Referee Studio makes no warranties, express or implied, regarding:

  • The accuracy, completeness, or reliability of any content
  • The fitness of the Platform for any particular purpose
  • The uninterrupted or error-free operation of the Platform
  • The availability of third-party video content

7.2 Educational Use Only

Referee Studio is an educational tool. Content and analysis provided are for study purposes only and do not constitute official rules interpretations or legal advice. Official basketball rules are published by the governing bodies (FIBA, NBA, etc.). Always consult official rules and certified instructors for authoritative guidance.

7.3 No Liability for Third-Party Content

Referee Studio is not responsible for:

  • The availability, accuracy, or legality of third-party video content
  • Copyright infringement or content removed by third parties
  • Technical issues with third-party hosting platforms
  • Changes to third-party terms or policies that affect your access

7.4 Complete Exclusion of Liability

To the maximum extent permitted by applicable law, Referee Studio and its officers, directors, employees, and agents shall not be liable for any damages whatsoever, including but not limited to:

  • Loss of data, revenue, profits, or business opportunity
  • Business interruption or service failure
  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of use, access, or enjoyment of the Platform
  • Third-party claims or actions
  • Damages arising from your use, misuse, or inability to use the Platform
  • Technical failures, security breaches, or unauthorized access
  • Inaccuracy, unavailability, or removal of third-party content
  • Any other loss or damage of any kind or nature

This exclusion applies to all claims, whether based in contract, tort, strict liability, warranty, or any other legal theory, and regardless of whether Referee Studio has been advised of the possibility of such damages.

7.5 Limitation of Liability Cap

To the extent that any court determines that the exclusion in Section 7.4 is unenforceable, Referee Studio's total liability to you shall be limited to the amounts you have paid to Referee Studio in the 12 months preceding the claim, or if no fees apply, a nominal amount of €0.01 (one euro cent).

8. Indemnification

You agree to defend, indemnify, and hold harmless Referee Studio, its officers, directors, employees, and agents from any claims, damages, costs, or fees (including reasonable legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your infringement of any intellectual property rights
  • Your violation of any applicable law
  • Content you submit or link to

9. Data Protection and Privacy

Referee Studio respects your privacy and complies with applicable data protection laws, including the General Data Protection Regulation (GDPR). Your use of the Platform is also governed by our separate Privacy Policy.

10. Termination of Access

10.1 Termination by You

You may terminate your account at any time by contacting us through the Platform or by written notice.

10.2 Termination by Referee Studio

We may terminate or suspend your access to the Platform at any time, without notice, if:

  • You violate these Terms
  • We determine your use is harmful or illegal
  • We discontinue the Platform or your account type
  • We believe termination is necessary for legal or operational reasons

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We may, at our discretion, delete your account and associated data. You remain liable for any actions taken before termination.

11. Third-Party Links and Services

The Platform may contain links to third-party websites and services. Referee Studio is not responsible for:

  • The content, accuracy, or availability of third-party sites
  • The terms, policies, or practices of third parties
  • Any loss or damage arising from your use of third-party services

Your use of third-party services is subject to their own terms and conditions.

12. Geographic Restrictions

Referee Studio is operated from the Netherlands and is subject to Dutch and EU law. We do not represent that the Platform is available or suitable in all jurisdictions. You are responsible for complying with local laws where you access the Platform.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflicts of law principles.

13.2 Jurisdiction

You agree that any dispute arising from these Terms or your use of the Platform shall be resolved in the courts of the Netherlands.

13.3 Arbitration (Optional)

For disputes below a specified threshold, the parties may mutually agree to binding arbitration under Dutch arbitration rules as an alternative to litigation.

14. Amendments and Updates

14.1 Right to Modify

Referee Studio reserves the right to modify these Terms at any time. We will post changes on this page with an updated "Last Updated" date.

14.2 Acceptance of Changes

Your continued use of the Platform after changes are posted constitutes your acceptance of the amended Terms. If you do not agree to changes, you must discontinue use of the Platform.

15. Severability

If any provision of these Terms is found to be invalid, unenforceable, or in violation of applicable law, that provision shall be modified to the minimum extent necessary to make it valid, or if such modification is not possible, the provision shall be severed. All other provisions remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other posted guidelines or policies, constitute the entire agreement between you and Referee Studio regarding your use of the Platform. These Terms supersede all prior agreements and understandings.
